1. Acceptance of Terms

By accessing or using everydayaiautomation.com (the "Site"), you agree to these Terms of Service ("Terms"). If you do not agree, please do not use the Site.

2. Who We Are

Everyday AI Automation ("Everyday AI Automation," "we," "us," or "our") provides AI agent deployment, forward-deployed engineering, and agentic AI consulting services to businesses. Nothing on this Site creates a client, advisory, or consulting relationship on its own — that relationship, and the services, fees, and deliverables it covers, is established only through a signed Statement of Work, engagement letter, or Master Services Agreement ("Engagement Agreement"). If any term of an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that engagement.

3. Not Financial, Legal, Medical, or Compliance Advice

Content on this Site — including statistics, industry commentary, and descriptions of our services — is provided for general informational purposes only and does not constitute financial, legal, investment, tax, medical, or regulatory compliance advice. Organizations remain solely responsible for their own regulatory compliance, model risk management, clinical judgment, and governance obligations. Consult qualified professionals before making decisions based on anything published on the Site.

4. AI Agents, Outputs & Human Oversight

Our services involve designing, deploying, and operating AI agents that use large language models and related technologies. AI-generated outputs and agent actions may be inaccurate, incomplete, or unexpected, and no AI system we deploy is guaranteed to be error-free. Agents we deploy for regulated, financial, medical, safety-related, or otherwise mission-critical use cases are designed to support — not replace — human review and decision-making, and we require a client-side reviewer of record for any workflow where an agent's output materially affects a regulated decision, unless the parties expressly agree otherwise in writing. Clients remain responsible for validating agent outputs before relying on them and for maintaining appropriate human oversight consistent with applicable law and their own risk tolerance.

5. Use of the Site

You agree to use the Site only for lawful purposes and not to: attempt to gain unauthorized access to our systems; interfere with the Site's operation or security; scrape, harvest, or reproduce Site content at scale without permission; submit false, misleading, or another person's information through our contact form; or use the Site to transmit Protected Health Information, government identification numbers, or payment card data (see our Privacy Policy, Section 11).

6. Intellectual Property

All text, graphics, logos, and other content on this Site are owned by Everyday AI Automation or its licensors and are protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works from this content without our written permission. As between the parties to an Engagement Agreement, and unless that agreement states otherwise: the client retains all rights to its own underlying business data; Everyday AI Automation retains all rights to its pre-existing methodologies, frameworks, templates, and general-purpose tooling used to deliver the engagement; and ownership of any custom deliverable built specifically for the client is set out in the applicable Statement of Work.

7. Confidentiality

In the course of an engagement, each party may share confidential or proprietary information with the other. Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information (and no less than reasonable care), and to use it only for purposes of the engagement, subject to the specific confidentiality terms of the applicable Engagement Agreement.

8. Fees & Payment

Fees, payment schedules, and invoicing terms for client services are set out in the applicable Engagement Agreement and are not established by this Site. Nothing on this Site constitutes an offer to contract at any listed or implied price.

9. Third-Party Links & Services

The Site may link to or rely on third-party services (for example, a scheduling tool, our email delivery provider, or Google Analytics). We do not control and are not responsible for the content, policies, availability, or practices of any third-party service.

10. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. Statistics and third-party research referenced on this Site are drawn from public industry sources cited at the point of use and should be independently verified before being relied upon or republished. Client services delivered under an Engagement Agreement are subject to the warranties (if any) stated in that agreement, and not to any warranty implied by this Site.

11. Limitation of Liability

To the fullest extent permitted by law, Everyday AI Automation will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Site. For client engagements, liability is governed by the limitation of liability provisions in the applicable Engagement Agreement.

12. Indemnification

You agree to indemnify, defend, and hold harmless Everyday AI Automation, its officers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access to the Site at any time, for any reason, including violation of these Terms. Termination of client engagements is governed by the applicable Engagement Agreement.

14. Governing Law & Dispute Resolution

These Terms, and use of the Site, are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles, unless a signed Engagement Agreement specifies a different governing law for that engagement. Any dispute arising out of or relating to the Site that is not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Illinois, and each party consents to personal jurisdiction there.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or for legal or operational reasons. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
